These Terms and Conditions govern the provision of services offered through ANDRED.it, as well as services covered by quotations, orders, engagements or invoices issued by the Service Provider.

1. Service Provider Details

Service Provider: AndRed.it di Savarin Andrea

VAT number: IT04270450135

Registered address: via Aldo Moro, 11 - Mandello del Lario (LC) 23826, Italy

2. Services

The Service Provider provides IT services, including consulting, software configuration and customisation, application development, technical support and any other activities specified in the relevant quotation or order.

The scope of services, included activities, fees and any estimated delivery times are those set out in the quotation, order or other written agreement between the parties.

In the event of any conflict between these Terms and Conditions and specific provisions in a quotation or contract, the latter shall prevail.

3. Quotations and Acceptance of Engagements

Unless otherwise stated, a quotation does not constitute a commitment to perform the services until it has been accepted by the Client.

Acceptance may take place by confirming the quotation, by written communication, by paying any required deposit, or by another method agreed between the parties.

Activities not expressly included in the quotation shall be considered additional services and may be subject to a separate quotation.

4. Prices and Invoicing

The applicable prices are those specified in the quotation or order.

The applicable tax treatment is that indicated in the tax documents issued by the Service Provider.

Where required by applicable law, stamp duty may be shown on the invoice and, where agreed or specified in the relevant commercial document, charged to the Client.

5. Payments

Payments must be made using the methods and by the deadlines specified in the quotation, order or invoice.

In the event of non-payment or late payment, the Service Provider may suspend services not yet performed until the outstanding amounts have been settled, without prejudice to any rights provided for under applicable law.

Disputes concerning part of the services do not justify withholding payment for services that have been properly performed and are not disputed.

6. Performance Timeframes

Any dates or timeframes specified in a quotation are estimates unless expressly designated as binding.

Timeframes may change if the Client is late in providing information, credentials, content, approvals or other items necessary for the performance of the services.

Changes requested by the Client to the original specifications may require a revision of both the timeframe and the fees.

7. Client Obligations

The Client undertakes to provide accurate and complete information and everything reasonably necessary for the provision of the services.

The Client is responsible for the content, data, credentials and materials provided to the Service Provider and represents that they hold the relevant rights and authorisations.

Unless otherwise agreed in writing, the Client is also responsible for final decisions concerning the use and deployment into production of the solutions developed.

8. Changes and Additional Services

Requests involving material changes to the originally agreed scope, new features or additional activities may be quoted separately.

The Service Provider shall inform the Client when a request falls outside the activities originally agreed.

9. Software, Third-Party Components and External Services

Provision of the services may require software, open-source libraries, cloud services, platforms or products supplied by third parties.

Such components remain subject to their respective licences, contractual terms and providers' policies.

The Service Provider shall not be liable for interruptions, changes in terms, discontinuation or malfunctions directly attributable to third-party services that are outside the Service Provider's control.

10. Intellectual Property

Unless otherwise agreed in writing, the Client shall acquire the rights to use the materials and developments specifically created for the project once the relevant fees have been paid in full.

Any pre-existing components belonging to the Service Provider, open-source software, libraries, frameworks, third-party products and materials are excluded and remain subject to their respective terms and licences.

Different arrangements for the transfer or licensing of source code may be set out in the quotation or contract for the individual project.

11. Support and Maintenance

Delivery of a project does not automatically include ongoing support, maintenance, updates or further development, unless these are expressly included in the quotation or a separate agreement.

Any subsequent work may be quoted separately.

12. Liability

The Service Provider undertakes to perform the services with professional care and diligence.

Except where liability cannot be excluded or limited under applicable law, the Service Provider shall not be liable for damage arising from improper use of the services, subsequent changes made by third parties, malfunctions of external infrastructure or services, or incorrect data or instructions provided by the Client.

These limitations do not affect any mandatory rights granted to consumers by law.

13. Consumer Right of Withdrawal

Where the Client qualifies as a consumer and the contract is concluded at a distance, the rights provided for under the Italian Consumer Code apply.

As a general rule, a consumer may withdraw from a service contract within 14 days of its conclusion without having to give any reason, subject to the exceptions provided for by law.

Where a consumer expressly requests that the provision of services begin during the withdrawal period and subsequently exercises the right of withdrawal, the consumer may be required to pay an amount proportionate to the services already performed, in the circumstances provided for by applicable law.

The right of withdrawal may cease to apply after the services have been fully performed, provided that the conditions and express consents required by applicable law have been met.

To exercise the right of withdrawal, the consumer may send an explicit notice to:

[email protected]

14. Cancellation by Business Clients

The statutory right of withdrawal under the Italian Consumer Code does not apply to Clients acting in the course of their business or professional activities.

If an engagement that has already commenced is cancelled, the Client remains liable for fees relating to work actually performed and any costs already incurred in carrying out the engagement.

15. Confidentiality

The parties undertake not to disclose confidential information received in connection with the engagement, except as necessary to perform the services or comply with legal obligations.

16. Personal Data Protection

Personal data is processed in accordance with applicable data protection legislation.

For further information, please refer to the Privacy Policy published on the AndRed.it website.

17. Communications

Communications relating to engagements may be sent by email, certified email (PEC) or other means agreed between the parties.

The Client must notify the Service Provider of any changes to their contact details.

18. Governing Law and Disputes

These Terms and Conditions are governed by Italian law.

For consumer Clients, the mandatory provisions of the Italian Consumer Code remain applicable, including those concerning the court having territorial jurisdiction.

In relations between professionals and businesses, any disputes shall be submitted to the competent courts in accordance with applicable law, unless otherwise agreed in writing between the parties.

19. Changes to These Terms

The Service Provider may update these Terms and Conditions from time to time.

Each engagement shall be governed by the terms in force when the relevant agreement is concluded, unless subsequent changes are expressly accepted by the parties.
